(AP) ? Profits at big U.S. companies broke records last year, and so did pay for CEOs.

The head of a typical public company made $9.6 million in 2011, according to an analysis by The Associated Press using data from Equilar, an executive pay research firm.

That was up more than 6 percent from the previous year, and is the second year in a row of increases. The figure is also the highest since the AP began tracking executive compensation in 2006.

Companies trimmed cash bonuses but handed out more in stock awards. For shareholder activists who have long decried CEO pay as exorbitant, that was a victory of sorts.

That's because the stock awards are being tied more often to company performance. In those instances, CEOs can't cash in the shares right away: They have to meet goals first, like boosting profit to a certain level.

The idea is to motivate CEOs to make sure a company does well and to tie their fortunes to the company's for the long term. For too long, activists say, CEOs have been richly rewarded no matter how a company has fared ? "pay for pulse," as some critics call it.

To be sure, the companies' motives are pragmatic. The corporate world is under a brighter, more uncomfortable spotlight than it was a few years ago, before the financial crisis struck in the fall of 2008.

Last year, a law gave shareholders the right to vote on whether they approve of the CEO's pay. The vote is nonbinding, but companies are keen to avoid an embarrassing "no."

"I think the boards were more easily shamed than we thought they were," says Stephen Davis, a shareholder expert at Yale University, referring to boards of directors, which set executive pay.

In the past year, he says, "Shareholders found their voice."

The typical CEO got stock awards worth $3.6 million in 2011, up 11 percent from the year before. Cash bonuses fell about 7 percent, to $2 million.

The value of stock options, as determined by the company, climbed 6 percent to a median $1.7 million. Options usually give the CEO the right to buy shares in the future at the price they're trading at when the options are granted, so they're worth something only if the shares go up.

Profit at companies in the Standard & Poor's 500 stock index rose 16 percent last year, remarkable in an economy that grew more slowly than expected.

CEOs managed to sell more, and squeeze more profit from each sale, despite problems ranging from a downgrade of the U.S. credit rating to an economic slowdown in China and Europe's neverending debt crisis.

Still, there wasn't much immediate benefit for the shareholders. The S&P 500 ended the year unchanged from where it started. Including dividends, the index returned a slender 2 percent.

Shareholder activists, while glad that companies are moving a bigger portion of CEO pay into stock awards, caution that the rearranging isn't a cure-all.

For one thing, companies don't have to tie stock awards to performance. Instead, they can make the awards automatically payable on a certain date ? meaning all the CEO has to do is stick around.

Other companies do tie stock awards to performance but set easy goals. Sometimes, "they set the bar so low, it would be difficult for an executive not to trip over it," says Patrick McGurn, special counsel at Institutional Shareholder Services, which advises pension funds and other big investors on how to vote.

And for many shareholders, their main concern ? that pay is just too much, no matter what the form ? has yet to be addressed.

"It's just that total (compensation) is going up, and that's where the problem lies," says Charles Elson, director of the Weinberg Center for Corporate Governance at the University of Delaware.

The typical American worker would have to labor for 244 years to make what the typical boss of a big public company makes in one. The median pay for U.S. workers was about $39,300 last year. That was up 1 percent from the year before, not enough to keep pace with inflation.

Since the AP began tracking CEO pay five years ago, the numbers have seesawed. Pay climbed in 2007, fell during the recession in 2008 and 2009 and then jumped again in 2010.

To determine 2011 pay packages, the AP used Equilar data to look at the 322 companies in the S&P 500 that had filed statements with federal regulators through April 30. To make comparisons fair, the sample includes only CEOs in place for at least two years.

Among the AP's other findings:

? David Simon, CEO of Simon Property, which operates malls around the country, is on track to be the highest-paid in the AP survey, at $137 million. That was almost entirely in stock awards that could eventually be worth $132 million, some of which won't be redeemable until 2019. The company said it wanted to make sure Simon wasn't lured to another company. He has been CEO since 1995; his father and uncle are Simon Property's co-founders.

This month, Simon Property's shareholders rejected Simon's pay package by a large margin: 73 percent of the votes cast for or against were against.

But the company doesn't appear likely to change the 2011 package. After the shareholder vote, it released a statement saying that "we value our stockholders' input" and would "take their views into consideration as (the board) reviews compensation plans for our management team." But it also said that Simon's performance had been stellar and it needed to pay him enough to keep him in the job.

Simon's paycheck looks paltry compared with that of Apple CEO Tim Cook, whose pay package was valued at $378 million when he became CEO in August. That was almost entirely in stock awards, some of which won't be redeemable until 2021, so the value could change dramatically. Cook wasn't included in the AP study because he is new to the job.

? Of the five highest-paid CEOs, three were also in the top five the year before. All three are in the TV business: Leslie Moonves of CBS ($68 million); David Zaslav of Discovery Communications, parent of Animal Planet, TLC and other channels ($52 million); and Philippe Dauman of Viacom, which owns MTV and other channels ($43 million).

? About two in three CEOs got raises. For 16 CEOs in the sample, pay more than doubled from a year earlier, including Bank of America's Brian Moynihan (from $1.3 million to $7.5 million), Marathon Oil's Clarence Cazalot Jr. (from $8.8 million to $29.9 million) and Motorola Mobility's Sanjay Jha (from $13 million to $47.2 million).

? CEOs running health-care companies made the most ($10.8 million). Those running utilities made the least ($7 million).

? Perks and other personal benefits, such as hired drivers or personal use of company airplanes, rose only slightly, and some companies cut back, saying they wanted to align their pay structure with "best practices."

Military contractor General Dynamics stopped paying for country club memberships for top executives, though it gave them payments equivalent to three years of club fees to ease "transition issues" caused by the change.

The typical pay of $9.6 million that Equilar calculated is the median value, or the midpoint, of the companies used in the AP analysis. In other words, half the CEOs made more and half less.

To value stock awards and stock options, the AP used numbers supplied by the companies. Those figures are based on formulas the companies use to estimate what the stock and options will eventually be worth when a CEO receives the stock or cashes in the options.

Stock awards are generally valued based on the stock's current price. Stock options are valued using company estimates that take into account the stock's current price, how long until the CEO can cash the options in, how the stock price is expected to move before then, and expected dividends. Estimates don't generally take inflation into account.

The shift to stock awards is at least partly rooted in what is known as the Dodd-Frank law, passed in the wake of the financial crisis, which overhauled how banks and other public companies are regulated.

Beginning last year, Dodd-Frank required public companies to let shareholders vote on whether they approve of the top executives' pay packages. The votes are advisory, so companies don't have to take back even a penny if shareholders give them the thumbs-down. But shame has proved a powerful motivator.

It got Hewlett-Packard to change its ways. After an embarrassing "no" vote last year on the 2010 pay packages, including nearly $24 million for ousted CEO Mark Hurd, the company huddled with more than 200 investment firms and major shareholders, then threw out its old pay formula. New CEO Meg Whitman is getting $1 a year in salary and no guaranteed bonus for 2011. Nearly all her pay is in stock options that could be worth $16 million, but only if the share price goes up.

Other companies took notice, too. Last year, shareholders rejected the CEO pay packages at Janus Capital, homebuilder Beazer Homes and construction company Jacobs Engineering Group. All won approval this year after the companies made the packages more palatable to shareholders.

To be sure, shareholders aren't voting en masse against executive pay. Instead, they seem to be saving "no" votes for the executives they deem most egregious.

Of more than 3,000 U.S. companies that held votes in 2011, only 43 got rejections, according to ISS. But the mere presence of the "say on pay" vote is triggering change, shareholder activists say.

"Companies that have gone through that trial by fire don't want to go through it again," says McGurn, the ISS special counsel.

Even Chesapeake Energy, a company perennially in the cross-hairs of corporate-governance activists, is bowing to pressure. The company has drawn fire for showering CEO Aubrey McClendon with assorted goodies. In addition to handing him big pay packages ? $17.9 million for 2011 ? Chesapeake in recent years has spent millions sponsoring the NBA's Oklahoma City Thunder, which he partially owns, paying him for his collection of antique maps and letting him buy stakes in company wells.

Last year, shareholders of the natural gas producer passed the proposed 2010 pay package but by a low margin, 58 percent. This year, with shareholder pressure mounting, the board has ended some of McClendon's perks and stripped him of his title as chairman. A lawsuit settlement is forcing him to buy back his $12 million worth of maps.

After losing the chairman job, McClendon issued a statement saying the demotion "reflects our determination to uphold strong corporate governance standards." Chesapeake will seek shareholder approval for McClendon's 2011 pay at its annual meeting in June.

So far, Citigroup is the highest-profile company to have its pay package rejected this year. The bank planned to pay CEO Vikram Pandit about $15 million for his work last year, noting that he had returned the company to profitability in 2010 and worked for $1 that year. Shareholders, who watched the stock price plunge 44 percent in 2011 (after adjusting for a reverse stock split) weren't so forgiving.

It's usually around January that boards decide how much to pay a CEO for the previous year. Then they inform shareholders and ask for their vote in the spring ? usually after the cash portion has already been handed out. For Pandit, that meant he had already received $7 million in salary and cash bonus by the time shareholders voted against his pay.

In a statement, Citi said it took the vote seriously and planned to "carefully consider" the input of major shareholders. It hasn't given more specifics. Richard Parsons, who retired as Citi's chairman after the April annual meeting, as previously planned, said after the vote that the board should have done a better job explaining to shareholders how it determined CEO pay.

Another big change is that more companies are giving themselves the right to take back a top executive's pay from previous years if they determine that the executive acted inappropriately to inflate the company's financial results.

The Dodd-Frank overhaul will eventually require public companies to include such broad "claw back" provisions, which will expand on narrowly written rules from a decade ago. But companies aren't waiting. In a separate study, Equilar found that 84 percent of Fortune 100 companies now include claw backs in their executive pay packages, up from 18 percent in 2006.

Last year, the former CEO of Beazer Homes agreed with regulators, who cited the older claw back rules, to turn over $6.5 million he had earned when profits were inflated. In February, UBS took back half of the previous year's bonuses awarded to many investment bankers because of subsequent losses in the unit.

Picking the right mix of incentives is partly just guesswork, and sometimes the results are simply a force of serendipity. Stocks can get swept up in rising or falling markets, so the fortunes of CEOs with well-designed pay packages can reflect luck ? good or bad ? not just managerial skills.

In February 2009, James Rohr, the head of PNC Financial Services, was granted options that allowed him to buy shares in the future at the then-current price, which had fallen 62 percent in five months on its way to a 17-year low the next month.

The stock has since doubled, and the options, mostly based on hitting certain profit and cost-cutting goals, are worth more than $20 million in paper profit, according to research by GMI Rating, a corporate governance watchdog. If investors had bought PNC stock just before the financial crisis in 2008, they would still be down more than a fifth.

Luck, of course, can cut both ways. Rohr is still waiting to cash in options granted in 2007, valued then at $2.5 million, when the stock was 18 percent higher than it is today.

Some shareholder groups doubt that ever-higher CEO pay, ingrained as it is in the corporate psyche, will ever be refashioned dramatically enough to satisfy shareholders and consumer groups who see the paychecks as too big, too disconnected from performance, and set by wealthy directors who are oblivious to the way that most of their shareholders live.

"I hope we have seen the last of this," says Rosanna Weaver of the CtW Investment Group, which works on shareholder issues with union-sponsored pension funds and has lobbied against CEO pay packages at a number of companies. "But I would be very surprised, just given what I know of human nature, let alone what I know of the financial markets."

Still, she's encouraged by the change that has already been stirred.

"It's a very big task," Weaver says. "I still believe it is worth trying."

Google has publicly unveiled new photos and the first video from the real view of their augmented reality glasses prototype. The images show what the wearer sees while reading a newspaper, catching a football in the backyard and helping a smiling child play on the jungle gym.

Such views don't necessarily represent anything people haven't seen before with head-mounted portable cameras. But they do hint at how Google Glasses could enable many people beyond geeky life-casters to capture a diverse array of moments in their lives ? the video shows the bouncy viewpoint of the Google Glasses wearer doing flips on a trampoline.

Google tech lead Max Braun showed off the photos and video at the Google + Photographer's Conference on May 23.

The Internet search giant has yet to show off real images or photos of how the glasses could seamlessly integrate virtual information with what a person sees in the real world. Its earlier unveiling of "Project Glass" included a concept video that imagined a wearer getting social calendar reminders and map directions in his field of view.

Still, many members of the public still seem enthusiastic about just having a pair of glasses with a small camera attached. One of the top comments on the YouTube video of the trampoline jumping simply stated "Shut up and take my money!"

The most popular comment of all had a perhaps tongue-in-cheek suggestion for using the Google Glasses ? "Good for POV [point-of-view] porn."

In budget conscious times of today, people will often feel that these features are driving up the cost of the home. Restaurant Review: Thai Square, George Street ... - Fabulicious Food

I was recently asked to review a branch of the Thai Square chain of restaurants. Given that we have one locally here in the Roman city of St Albans, I was only too happy to oblige.

Like many of its?local counterparts here in St Albans, Thai Square is a chain, with?nineteen individual restaurants across London and beyond and apparently, a new health spa. Competition for business and customer loyalty is fierce everywhere, and St Albans is no exception. Despite the economic downturn, St Albans?seems to be?becoming the gastronomic ?hub? of Hertfordshire, with new restaurants popping up rapidly. Discerning diners?still appear to be keen to enjoy a?meal out,?but whilst?internal character and visual appeal will get you off the ground, after that, it is the food that must win diners over, if they are to keep coming back for the price it costs to eat out.

The Thai Square group came under local public scrutiny a few years back, when they took on the challenge of renovating the Tudor Tavern public house, a Grade II listed building in the city centre of St Albans. The former tavern dates back to 1400-1401 and can be found?on the corner of George Street and Verulam Road, close to the Abbey Gateway.

At the time of opening, the Thai Square/Tudor Tavern?St Albans?conversion was hailed a success. Though many locals were quick to oppose the change,?the general view on?completion?was that the building had been tastefully and sensitively converted. Thai Square continues to be one of St Albans? most striking restaurants, internally. Many of the original architectural features, such as exposed wooden Tudor beams and brick walls were retained, and are complimented by Thai statues, carvings and decor.

More recently, Jamie Oliver has followed in?Thai Square?s?footsteps, renovating ?The Bell? public house on nearby Chequer Street?into a bustling Jamie?s Italian. Raymond Blanc who is?soon-to-be Thai Square?s newest next-door?neighbour, has also confirmed he is embarking on?a similar adventure with his Brasserie Blanc chain. It seems that renovating historic buildings is the new way forward, presumably to get the maximum wow-factor.?It is a risky commercial strategy, as developers, whoever they may be,?have to contend with the strict regulations and restrictions of occupying some of the historically listed buildings?within one of the most important Roman towns in Britain.

Though there are at least three other Thai restaurants within the immediate vicinity of George Street and The Abbey, Thai Square, with its impressive structural features, has established itself as one of the better Thai restaurants, offering consistency in food standards and service. Though I do suppose you pay a slight premium for the 15th Century location.

Internal decor

The space inside Thai Square St Albans lends itself well to a restaurant setting, with a spacious downstairs reception and dining area and an equally roomy upstairs. There is a separate bar area with its own entrance on George Street serving cocktails, beers, wines and spirits.

There are steps to contend with, both on the way in and within the restaurant itself, as well as low beams, so you do have to watch out!

On both floors, the tables are well-spaced out and you certainly don?t get the feeling that you are practically sitting on top of your neighbours, as I have noticed recently within other local hot-spots. There are smaller nooks and crannies and areas you can sit down in for bar snacks and drinks.

The service

The restaurant was aware that I was reviewing, though the service from gently-spoken and welcoming staff was as polite and attentive as I have found to be the case on previous occasions. I had to ?top-up? my own wine a couple of times, but I didn?t take this as a lack of service; more that the general nature of Thai waiting staff is to leave you to enjoy your meal in an unobtrusive manner, whilst being on hand if you need them. Either that, or I am a fast drinker!

The menu

The menu at Thai Square is vast with over 1,000 dishes to choose from. The chain pitches itself as ?incorporating authentic ingredients to produce both traditional and contemporary dishes.? Chilli pepper icons indicate heat levels, although I find with Thai food that even one chilli can indicate quite a spicy dish (though I am bit of a chilli light-weight.)?

There were a few ?Chef?s Recommended Dishes? on offer, including a Lamb Shank stewed in Panang sauce, as well as a range of special seafood choices. Following this, a traditional selection of?starters, such as Royal Dim Sum, Satay, Aromatic Duck (much the same as in a Chinese restaurant), Thai Soups (always a bit of an acquired taste, I find) and?Thai Salads. Moving on, various types of?Thai Curries (red, green, dry, jungle)?and an array of main courses featuring meat, poultry and seafood.

You can also order Thai noodles, rice and vegetable dishes as well as a separate and substantial vegetarian menu. If you are part of a group, you can order a vegetarian banquet/set menu too.

Starters

We opted for traditional mixed starters, which included chicken satay, spring rolls, golden sacks, fish cakes and dim sums. There were two sauces (peanut and chilli) and the plate was decorated with the obligatory Thai hand-carved vegetables. The starters were all freshly cooked and non-greasy.

For our main courses, we ordered a Gang Kiew Wan, a traditional Thai Green Curry cooked with coconut milk and?chilli as well as a side of steamed rice. The curry was much spicier than I could tolerate! Luckily, we had also ordered the Chef?s special fried rice served in a pineapple shell, which was generous enough for one main course or for two as a side and again, looked pretty.

I also tried the Goong Gratiam (Garlic Prawns) which were served butterflied and in their shells (though the menu didn?t state this) with the chef?s ?special paste? over the top. I thought there was too much ?paste?, though the prawns were really big and well-cooked. I did mention a red-pepper?aversion to our waitress and she guided us on the choice of prawns. Despite this, I did find myself picking out red peppers from the fried rice, which seemed a little odd, given that I had specifically asked for my main dish not to contain them.??

Desserts

A large selection of desserts including Thai specialities are on offer if you have the room, such as traditional Thai Coconut Sticky Rice, a Fresh Fruit Platter or a fruity Thai Sundae. Right in the middle of the ?Thai desserts? is a Belgian Chocolate Pudding and though I was tempted, as I generally am by chocolate, I went for the Baked Banana with ice cream and toasted almonds. ?Not especially Thai-like, but it hit the spot. I usually order the chocolate ice cream at Thai Square as it reminds me of Swiss Movenpick ice cream, and they serve it in great big coupe.

Drinks

Though this time I stayed with wine, sampling the Thai Monsoon Shiraz?Ros?, I maintain from previous experience that Thai Square?s ?Black Bison? cocktail (Polish Bison Vodka, Chambord Liqueur, Blackberry Puree, Lime Juice and Gomme Syrup) is one of the best cocktails that you?ll find in St Albans. The Monsoon Shiraz was served ice cool and complimented the entire meal very well. It didn?t really taste any different to say, a Pinot Grigio?ros?, but I would recommend it.

Overall Experience & Price

I have thought hard as to whether there was anything in particular?that detracted from our overall enjoyable experience (other than the red pepper thing, which I am used to because it is uncommon intolerance)?and there was one thing; the music. It wasn?t so much that it disturbed me; more that I found it an odd choice for a Thai restaurant. It was a sort of strange mix of ?elevator? music, almost instrumental Frank Sinatra venturing into Frasier-type jazz, which I noted at the time as bordering on a bit annoying. I am not sure what type of music would best suit the venue, but whatever was playing, didn?t seem to enhance my dining experience!

Thai Square?s opening hours are also worth a mention. In the past, we?ve stumbled into the St Albans branch quite late following a cinema trip in a neighbouring town, and have been seated well past 10.30pm on a week night. They also offer a take away menu and quite often, a lunch-time special. ?During the day, the restaurant is lovely and bright, owing to the huge windows along George Street. By night, it is dimly lit with candles and low lighting. Perfect for a romantic meal!

Following this visit, I stand by the quality of the service and food at Thai Square, St Albans. The king?prawns were particularly succulent and tasty. The venue definitely gives the impression that you are dining in a high-end restaurant,?reflected in?the price of a meal, but with enough space around you to not feel crowded or rushed, even during a busy-spell. The benefit of eating in a chain restaurant is that you would expect some consistency and standards throughout.

You?ll pay at least ?60 for a three-course?meal for two at Thai Square, including a non-expensive?bottle of wine. It?s not a cheap night out, but it is certainly a place to go to impress.

The menu at Thai Square is ambitious; but luckily the chefs seem equipped to provide freshly-cooked food to order with no huge delays between courses.

Good quality Thai food aside, the ?Black Bison? cocktail, is certainly worth stopping in for before a night out, though I do warn; it could become an expensive habit!

Comic Grillo shakes up Italian politics with shock win

ROME (Reuters) - Italy's political parties had hoped Beppe Grillo would fade away, but the comic who rails against their corruption and ineptitude and says Italy should default on its debt and quit the euro is going from strength to strength.

In local elections on Monday, Grillo's Five-Star Movement shook Italian politics by winning control of the northern city of Parma and several smaller towns, capitalizing on voter discontent with economic stagnation and austerity.

Increasingly popular at a time when support for mainstream parties is slipping, the protest movement - Grillo insists it is not a "party" - campaigns to clean up politics and business, promote clean energy and dismantle monopolies and privileges.

It has a mastery of the Internet and social media that is light years in advance of any of the traditional parties.

Polls say the movement has become Italy's third largest political force and its growing impact echoes the success of outsiders elsewhere in Europe, as the economic crisis has eaten away at the credibility of old-style party systems.

In prosperous Parma, famous for its ham and cheese, the movement's candidate Federico Pizzarotti exceeded all expectations by coming from behind in a run-off ballot to take around 60 percent of the vote against his centre-left rival.

In typically aggressive style Grillo, 63, said Parma was the "Stalingrad" of the parties, a reference to a decisive defeat for Hitler in World War Two, and warned that their definitive "Berlin" would come at next year's national vote.

Political scientist James Walston of the American University of Rome, called the result "a real slammer" and said the traditional parties would have to try to "rebrand and re-present themselves" if they wanted to halt Grillo's ascent.

With his mane of unruly white hair and beard, Grillo lays into left- and right-leaning parties alike, as well as the technocrat government of Mario Monti. He has dubbed the understated Monti "Rigor Montis", and says he represents the interests of banks rather than citizens.

He made his name as a stand-up comedian in the northern city of Genoa, but is now far better known for his vitriolic attacks against the ruling classes, usually delivered in a frenzied, hoarse voice before thousands of followers in Italy's piazzas.

MANSLAUGHTER

Grillo himself does not run for office, having been convicted for manslaughter after three passengers died when the jeep he was driving skidded off the road in 1981.

He never appears on political talk shows and also bans his movement's candidates from doing so, to avoid them being associated with the "zombies" representing traditional parties.

The average age of the four mayors elected by the Five-Star Movement on Monday was 31, in contrast to the gerontocratic world of Italian politics.

According to Grillo, Pizzarotti's victory in Parma was achieved with a campaign budget of just 6,000 euros.

Having tried in vain to dismiss him as an "anti-political" demagogue, mainstream politicians have recently begun to acknowledge him as a legitimate rival and even to claim affinity with his movement's goals.

Mariastella Gelmini, education minister under Silvio Berlusconi's former government, said Grillo's appeal to ordinary voters was reminiscent of media tycoon Berlusconi when he entered politics in 1994.

At its first political test in 2010 the Five-Star Movement, which organizes itself through the Internet and social networks, won just 1.8 percent of the vote, rising to 3.4 percent at Milan's mayoral election the following year.

It is now credited with around 12 percent at the national level, making it a major force in Italy's highly fragmented political landscape ahead of national elections due next spring.

Grillo says Monti is driving Italy into poverty simply to try to pay back its 1.9-trillion-euro ($2.52-trillion) debt, the world's fourth-largest, which is mostly held by banks.

"If we had the lira, in one night we could write two lines on a piece of paper and devalue by 30 percent, and then we could all start over. As things are now, we can't make it," Grillo told Reuters in a recent interview.

While Grillo's powerful invective and rhetorical skills make him an ideal front man, many analysts point out that his movement's followers, often young professionals, tend to be far more down to earth and pragmatic.

"Beppe Grillo is our megaphone, the citizens of parliament elected me and certainly not Beppe Grillo," said Pizzarotti.

PFT: Raiders' McClain gets 180 days, will appeal

Thursday?s unexpected development in the Saints? bounty scandal came from the decision of linebacker Jonathan Vilma to sue Commissioner Roger Goodell in a Louisiana federal court.? As mentioned in the first of what surely will be more than 10 and less than 1,000 items on the legal action, Goodell?s initial line of defense will arise under the labor deal.

Specifically, he?ll file a motion to dismiss the lawsuit, citing Article 43, which sets forth the procedures for ?non-injury grievances.?

Here?s what it says (free one-year PFT subscription to anyone who reads it all):? ?Any dispute (hereinafter referred to as a ?grievance?) arising after the execution of this Agreement and involving the interpretation of, application of, or compliance with, any provision of this Agreement, the NFL Player Contract, the Practice Squad Player Contract, or any applicable provision of the NFL Constitution and Bylaws or NFL Rules pertaining to the terms and conditions of employment of NFL players, will be resolved exclusively in accordance with the procedure set forth in this Article, except wherever another method of dispute resolution is set forth elsewhere in this Agreement.?

The lawsuit claims that Goodell lied about Vilma in multiple ways via written and spoken communications regarding Vilma?s alleged role in the bounty program.? Goodell undoubtedly will argue that he was acting in his capacity as NFL Commissioner, and that all statements about the bounty investigation were made under the provisions of the NFL Constitution and Bylaws regarding the integrity of the game.? Thus, the argument will be that Vilma is required to pursue ?any dispute? regarding those comments to the procedures set forth in the Collective Bargaining Agreement, which will shield the NFL from the public nature of a civil action ? and ultimately from the whims of a Louisiana jury.

It?s a common argument, identical to the defense the NFL already has raised to the concussion lawsuits brought by former players.? Labor agreements routinely establish in-house mechanisms for resolving disputes, and the Federal Arbitration Act gives judges a mechanism for washing their hands of lawsuits that otherwise are covered by the terms of a CBA.

That said, Vilma likely will claim that Goodell forfeited the protection of the CBA by making statements that were beyond the confines of the application of the NFL Constitution and Bylaws.? The argument likely will be that Goodell should have merely suspended Vilma without public commentary or accusation, saying nothing about what Vilma allegedly did to merit the suspension.

If that?s the argument, it could have some merit.? Without question, the NFL has chosen to release certain information publicly in the hopes that it will shape the perception of media and fans regarding the Saints? bounty program.? The question for the court to decide will be whether those activities pull the situation away from the four corners of the CBA.

Goodell will have other defenses.? Vilma, for example, is a public figure, which means that Vilma will have to prove that Goodell acted with malice.? To prove the existence of malice in this context, Vilma will have to show that Goodell knew the statements were false, or that he acted with reckless disregard as to whether the statements were true or false.? Vilma?s argument, if the case progresses to that point, surely will be that Goodell jumped to irrational conclusions as to Vilma in order to advance his safety agenda.

Pets can be frustrating.?

Sometimes they just stare and stare?at you???as if you're supposed to?magically know exactly what they're thinking.

Well, an amusing (and free)?iPhone app helps defuse those awkward moments by suggesting what might be on your beloved pet's mind.

The app's called CrossTuner and it can be downloaded from the Apple App Store. All you have to do in order to use it is point your iPhone's back-facing camera at the confusing creature near you, select what it is (currently the only options are dog, cat and zombie), and speak.

As soon as the app detects sound, you'll see what it believes your pet is thinking.

Since I didn't have a cat, dog, or zombie on hand to test this app, I borrowed my co-worker's stuffed unicorn. CrossTuner happily revealed what the fluffy creature is thinking?? no matter what I claimed it was?? so I suppose it could work on anything or anyone, whether there's actual brain-activity involved or not.
